This Terms and Conditions of Use Agreement (“Agreement”) is made by and between Satic, Inc., a Nevada Corporation headquartered at  7151 Kestrel Drive, Missoula, Montana and any of its subsidiaries (collectively, "Satic", "we", "our" or "us") and you the user (you, your or User).  BY CLICKING TO ACCEPT OR BY ACCESSING, VISITING, BROWSING, USING OR ATTEMPTING TO INTERACT WITH OR USE ANY PART OF SATIC SITES, OR ANY SATIC SERVICES OR CONTENT (COLLECTIVELY "SERVICE"), YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THESE TERMS OF USE.     1. Agreement and Modifications

    This Agreement specifies the Terms and Conditions for access to and use of Satic Sites and describes the terms and conditions applicable to your access of and use of the Satic Sites. This Agreement is a legally binding contract between you and Satic.  

    This Agreement may be modified at any time by SATIC upon posting of the modified Agreement. Any such modifications shall be effective immediately. This Agreement, as updated or amended from time to time, shall remain in full force and effect while you use the Satic Sites.  You may be asked to click to accept the new agreement the next time you log on to the Satic Sites in order to be able to use the Satic Sites. 

    We will put any revised versions of this Agreement on the Satic Sites. It is therefore important that you regularly check for the most recent version of these terms at Terms and Conditions of Satic Sites Use. Each use by you shall constitute and be deemed your unconditional acceptance of this Agreement.  

    This Agreement constitutes the entire agreement between you and Satic Sites and governs the terms and conditions of your use of Satic Sites, and supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Satic Sites with respect to this Site.  Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies (including but not limited to the Privacy Policy, Terms and Conditions for Purchase of Satic Products), guidelines, or rules that may apply when you use Satic Sites.  Your continued use of Satic Sites after any changes have been made to this Agreement signifies and confirms your acceptance of any such changes or amendments to the Agreement.

    2. Your Use of Satic Sites 

    SATIC grants you a limited, revocable, nonexclusive license to use this site solely for your own personal use and not for republication, distribution, assignment, sublicense, sale, preparation of derivative works, or other use.  You agree not to copy materials on the site, reverse engineer or break into the site, or use materials, products or services in violation of any law. The use of Satic Sites is at the discretion of SATIC and SATIC may terminate your use of Satic Sites at any time.  

    When you use the Satic Sites, you represent and warrant the following:

    1. Any information you submit is truthful and accurate to the best of your knowledge.
    2. You will provide accurate information about yourself. It is prohibited to use false information or impersonate another person or company in your interactions with us.
    3. If you have registered an account with us, you will update your contact information if it changes so that we can contact you.
    4. Your use of the Satic Sites and your use of services available on the Satic Sites do not breach any applicable law or regulation and are not unlawful, deceptive or fraudulent.
    5. If you register an account with us, you are 18 years of age or older, and if you are registering with or using the Satic Sites on behalf of a business entity, you have the authority to agree to this Agreement on behalf of the business.
    6. You will comply with our rules governing the use of the interactive features of the Satic Sites as set forth herein.
    7. You are solely responsible for any activity on any registered account or profile. If you share your account with other people, you are in violation of this Agreement but you are also responsible for all activity conducted by those people.
    8. You will not transmit chain letters, bulk or junk email or interfere with, disrupt, or create an undue burden on the Satic Sites or the networks or services connected to the Satic Sites, including without limitation, hacking into the Satic Sites, or using the Satic Sites to send unsolicited or commercial emails, bulletins, comments or other communications.
    9. You will not use the Satic Sites for any unauthorized purpose, including but not limited to collecting usernames and/or email addresses of other users by electronic or other means for the purpose of sending unsolicited email or other electronic communications, to sell data available on the Satic Sites, or engaging in framing of, or linking to, the Satic Sites without our express written consent.
    10. You will not sell or let others use your password or registration for the Satic Sites, provide false or misleading identification or address information, or invade the privacy or breach a personal, confidentiality or proprietary right, of any person or entity.
    11. You will not knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, adware, ransomware, or any other harmful programs or similar computer code designed to adversely affect the operation of any of the Satic Sites or any computer software or hardware.
    12. You will not crawl, scrape, or spider any page of the Satic Sites. Nor will you reverse engineer (to attempt to), create back doors or any form of unauthorized or misrepresented access to the Satic Sites. Nor will you attempt to obtain the source code of the Satic Sites.
    13. You will not and are not, nor are you authorizing someone to, submit(ting) information to SATIC, including inquiries for information about SATIC products or services, e.g. lead information, for the purpose of trolling, or for the purpose of creating an alleged claim under an applicable consumer protection law against SATIC, e.g. claims under the Telephone Consumer Protection Act.
    14. You also represent and warrant that you will comply with all applicable laws governing your online conduct on, and use of, the Satic Sites. If you are outside the United States you must comply with all local laws with respect to your online conduct, as well as the export of data to the United States or to your country or residence.

    If you violate this Agreement in anyway, we may, without prejudice to our rights, terminate your account and access rights to the Satic Sites.

    3. Your Input

    The Satic Sites and our social media accounts may provide features that allow you to share information data, questions, comments, suggestions, and materials with us and other users, which includes any feedback from you about our products, the Satic Sites and improvements thereto ("Input"). Please make sure you read our PrivacyPolicy, which provides important information about your online privacy and our use of information that we collect about you. You are solely responsible for the content of, and any harm resulting from, any of your postings or submissions to the Satic Sites. Any communication or material you transmit to Satic by electronic mail or otherwise will be treated as, non-confidential and non-proprietary. Anything you transmit or post may be used by Satic or its affiliates for any purpose, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast, promotion, marketing and posting.  When you create or make available your Input, you represent and warrant the following:

    1. You own or have sufficient rights to post or submit your Input on or through the Satic Sites.
    2. You will not post Input that infringe any rights of SATIC or any other person or entity, including intellectual property and other proprietary rights, confidentiality rights and contractual rights or obligations.
    3. You have fully complied with any third-party licenses relating to your Input and agree to pay all royalties, fees and other monies owed to any person or entity by reason of Input that you have posted or submitted.
    4. You will not post or submit any Input that:
      1. Is defamatory, damaging, disruptive, unlawful, intentionally inaccurate, pornographic, vulgar, indecent, profane, hateful, racially or ethnically offensive, obscene, lewd, lascivious, filthy, threatening, excessively violent, harassing, or otherwise objectionable;
      2. incites, encourages or threatens immediate physical harm against another group or person;
      3. promotes racism, bigotry, sexism, religious intolerance or harm against any group or individual; or
      4. contains material that solicits or attempts to solicit personal information from anyone under 18 or exploits anyone in a sexual or violent manner.
    5. You will not post Input that contain advertisements or solicit any person to buy or sell products or services (other than our products and services).
    6. You will not post Input or take any other action that constitute, contain, install or attempt to install or promote spyware, malware or other computer code, whether on our or others' computers or equipment, including technologies designated to enable you or others to gather information about or monitor the on-line or other activities of another party.

    If you upload material or otherwise do anything in relation to our Satic Sites that violates this Agreement in anyway, we may, without prejudice to our rights, terminate your account and access rights to the Satic Sites.

    You are solely responsible for your conduct when accessing and using the Satic Sites. You agree that we cannot be liable for any dispute that arises between you and any other user.

    4. Grant of License to Satic

    By making any Input to the Satic Sites, which includes any data generated relating to your energy usage, you grant us a perpetual, non-exclusive (meaning you remain free to license your Input to others), fully-paid up, royalty-free (meaning we are not required to pay you for our use of your Input), sub-licensable (meaning that we can grant others the right to use your Input, for example, Facebook, YouTube, Distributors, or a company hosting the Satic Sites) and worldwide (because the Internet and the Satic Sites can be accessed from anywhere in the world) license to use, modify, create derivative works of, publicly perform and display, reproduce, communicate, commercialize, and distribute the Input without any further compensation, attribution, or notice to you.  Satic is free to use any ideas, concepts, know-how or techniques contained in any communication you send to Satic for any purpose whatsoever including, but not limited to, developing, manufacturing and marketing products using such information, without any additional compensation or other liability or obligation to you.  

    You agree not to assert any moral rights or rights of publicity against us for using your Input. You also recognize our legitimate interest in using your Input, in accordance with the scope of this license, to the extent your Input contains any personal information.

    As used herein “Input” includes but is not limited to feedback, suggestions, product improvements, enhancement requests, testimonials, recommendations, or other feedback relating to any of the Satic Sites.

    5. Your Account and Password

    Please note that in order to use the interactive features (if any) of the Satic Sites, and to the extent you are eligible to access such features, you may be required to first register for an account with us through an online registration process.  

    Your account is not transferrable. You are responsible for keeping secret and confidential any account information and passwords you may have when registering for an account on the Satic Sites. You are responsible for all uses of your account(s), whether or not actually or expressly authorized by you. We may restrict or limit account registration to eligible users only.

    If you have an account you may terminate it at any time, for any reason, by contacting support@Saticusa.com. If your access to Satic Sites is terminated, either by you or Satic, you may lose any information associated with your account, including the ability to retrieve materials contained in the account.

     

    We may terminate or suspend your account (and any related accounts) and your access to any Satic Sites at any time, for any reason, and without advanced notice. If we do so, you do not have a contractual or legal right to continue to use the Satic Sites.

    6. Satic’s Intellectual Property

    All content included on Satic Sites is and shall continue to be the property of Satic or its content suppliers and is protected under applicable copyright, patent, trademark, and other proprietary rights. Any copying, redistribution, use or publication by you of any such content or any part of Satic Sites is prohibited, except as expressly permitted in this Agreement. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of the Satic Sites.

    The Satic Sites and all of the content on the Satic Sites ("Materials"), the trademarks, service marks, and logos contained on the Satic Sites ("Marks"), are owned by or licensed to us and are subject to trademark, copyright and other intellectual property rights under applicable national laws and international conventions. We reserve all rights not expressly granted under this Agreement or any separate written agreement in and to the Satic Sites, the content and the Materials and Marks. If you are seeking permission to use our Marks or Materials beyond what is provided in this Section, you may contact us via the Contact Information herein.

    Anyone using Satic Marks or Materials must follow the following trademark usage guidelines:

    1. You may download or print a copy of the Materials available through the Satic Sites for your own personal use, such as uses related to the purchase, installation, maintenance, and support of products, but you must retain all copyright, trademark and other proprietary notices contained in and on the Materials. 

     

    1. You MAY NOT use the Materials for any purpose that is commercial in nature unless you have our express authorization to do so. 

     

    1. You agree that you will not circumvent, disable or otherwise interfere with security related features of Satic Sites or features that prevent or restrict use or copying of any materials or enforce limitations on use of Satic Sites or the Materials on the Satic Sites. You further agree not to access Satic Sites by any means other than through the interface that we provide, unless otherwise specifically authorized by us in a separate written agreement.

     

    1. You will not: 

     

      1. Bring harm or disrepute to Satic and/or the goodwill of the Marks;
      2. Use a Mark in metatags, search fields, hidden text, or any other form that may divert or confuse users, unless prior written consent is first obtained.
      3. Make references to Satic or its affiliates, brands, products, or services that are unfair, untruthful, derogatory, or misleading in any way.
      4. Use any of Satic’s Marks as the name of your social media account and any and all pages or communities should not include any of Satic’s Marks; 
      5. Use a Mark without providing the requisite acknowledgment of Satic’s ownership in and to a Mark in the form and manner specified by Satic.
      6. Modify or edit a Mark in any way.
      7. Incorporate or combine a Mark with any other product or service mark, logo, or company name, or with any other words or images of any kind.
      8. Adopt marks or logos that are confusingly similar to a Satic’s Marks or try to register such marks or logos.
      9. Use a Mark in a manner that could reasonably suggest a sponsorship or endorsement by Satic, or confuse the Satic brands with any other brands.
      10. Associate Satic’s trademarks with indecency, illegality, vulgarity, pornography, racism, prejudice, obscenity, or any other patently offensive or incendiary content or information of any kind.
      11. Engage in cybersquatting (i.e., incorporating any of Satic’s trademark into a separate entity’s domain name, in whole or in part).

    7. Waiver and Enforcement

    We may, but are not required to: (a) monitor or review the Satic Sites for breaches of this Agreement and for compliance with our policies; (b) report to law enforcement authorities and/or take legal action against anyone who breaches this Agreement; (c) refuse, restrict access to or the availability of, or remove or disable (to the extent technologically feasible) any Input or any portion thereof that may breach this Agreement, the law or any of our policies or are excessive in size or burdensome; and/or (d) manage the Satic Sites in a manner designed to protect our and third parties' rights and property or to facilitate the proper functioning of the Satic Sites.

    Without limiting any other provision of this Agreement, we reserve the right to, in our sole discretion and without notice or liability deny access to and use of the Satic Sites and/or any account for the Satic Sites to any person for any reason or for no reason at all, including without limitation for breach of any representation, warranty or covenant contained in this Agreement, or of any applicable law or regulation. If the need arises, we may also move the Satic Sites to another domain or close the Satic Sites indefinitely. 

    Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision.  Any waiver of this Agreement by SATIC must be in writing and signed by an authorized representative of SATIC.

    8.  Satic Site Updates

    The material and information available on the Satic Sites may become out of date at any given time and we are under no obligation to update the contents of the Satic Sites.

    SATIC reserves the right to change, suspend or discontinue any aspect of the Satic Sites at any time, for any reason. We will not be liable to you for the effect that any changes to the Satic Sites may have on you, including on your business, income, or ability to generate revenue.

    9. Third Party Sites

    The Satic Sites may contain links to other websites ("Third Party Sites"). We do not own or operate the Third-Party Sites, and we have not reviewed the material, including goods or services, made available through Third Party Sites. The availability of these links on the Satic Sites does not represent, warrant or imply that we endorse any Third-Party Sites or any materials, opinions, goods or services available on them. Third party materials accessed through or used by means of the Third-Party Sites may also be protected by copyright and other intellectual property laws.

    This Agreement does not apply to your use of Third-Party Sites. You should review the Third-Party Sites' terms and conditions, privacy policy and all other site documents, and make sure you understand the regulations, policies and practices that apply when you access them.

    10. Linking to Satic Sites

    You may link to any Satic Sites home page, provided you do so in a way that is fair, accurate, legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists.

    You must not establish a link to Satic Sites in any website that is not owned by you.

    Satic Sites must not be framed on any other site, nor may you create a link to any part of our website other than the home page.

    We reserve the right to withdraw linking permission without notice. The website in which you are linking must comply in all respects with the content Input standards set out herein.

    11.  Use of Information

    12. Intended Audience

    This website is intended for adults only. This website is not intended for any children under the age of 13.

    13. Indemnification

    You agree to indemnify and hold us, our subsidiaries, affiliates, related entities and licensors and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable legal and attorneys’ fees, that arises out of your use of the Satic Sites, any breach of this Agreement, or your infringement of someone else's rights.

    14. Disclaimer

    THE USE OF SATIC SITE IS AT YOUR SOLE RISK. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT ON THE SATIC SITES, THE CONTENT OF ANY SITE LINKED TO THE SATIC SITES, INPUT, INFORMATION OR ANY OTHER ITEMS OR MATERIALS ON THE SATIC SITES. WE DO NOT GUARANTEE THAT: (a) THE SATIC SITES WILL BE SECURE, TIMELY, UNINTERRUPTED, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, ERROR-FREE; (b) THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL MATERIALS; (c) ANY DEFECTS OR ERRORS WILL BE CORRECTED; AND/OR (d) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH YOUR USE OF THE WEBSITE WILL MEET YOUR EXPECTATION OR REQUIREMENTS.     UNDER NO CIRCUMSTANCES WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY OR PUNITIVE OR ANY OTHER LOSS OR DAMAGES, INCLUDING WITHOUT LIMITATION ANY DIRECT OR INDIRECT LOSS OF REVENUE OR PROFIT, BUSINESS INTERRUPTION OR LOSS OF DATA ARISING FROM YOUR USE OF THE SATIC SITES AND ANY INPUT, MATERIALS OR ANY OTHER CONTENT AVAILABLE ON THE SATIC SITES OR OTHERWISE ARISING IN CONNECTION WITH THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR FOR BREACH OF STATUTORY DUTY OR UNDER ANY OTHER THEORY OF LAW OR EQUITY. IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ANY DAMAGES EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100 USD) OR THE AMOUNT YOU PAID SATIC IN THE LAST TWELVE (12) MONTHS. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

    YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SATIC SITES AND/OR CONTENT IS TO CEASE ALL OF YOUR SITE USE.

    You may have additional rights under certain laws (including consumer laws) which do not allow the exclusion of implied warranties, or the exclusion or limitation of certain damages. If these laws apply to you, the exclusions or limitations in this Agreement that directly conflict with such laws may not apply to you.

    17. Digital Millennium Copyright Act.  

    Satic Sites do not solicit user posts with copyright content.  However, if you are a copyright owner or the legal agent of a copyright owner, and you believe that any user submission or content on any Satic Site infringes upon your copyrights, please provide a notice to us at the address below providing all of the information required under the Digital Millennium Copyright Act so that SATIC may evaluate your assertions.  Your notification must comply with the instructions provided via this form and must be addressed to our designated agent as set forth below:

    18. Liquidated damages for Spam

    You acknowledge and agree that spam is harmful to a site, service or network and causes injury, including damage to reputation and goodwill, which is difficult to measure. As a pre-estimate of our anticipated loss, you agree to pay us $200 (USD) for each unsolicited commercial email or other unsolicited communication that you send from, to, or through the Satic Sites.

    19.  Mediation

    If any dispute arises in relation to your access and use of the Satic Sites or Satic products (including any non-contractual dispute or claim), and if the dispute is not settled through negotiation, you and SATIC agree that you will first try in good faith to settle the dispute by mediation before resorting to litigation or some other dispute resolution procedure. The process shall be confidential based on terms acceptable to the mediator and/or mediation service provider.

    20. Applicable Law

    You agree that the laws of the state of Montana, without regard to conflicts of laws provisions will govern these Terms and Condition of Use and any dispute that may arise between you and SATIC or its affiliates.  You and we further agree to submit to the exclusive jurisdiction of the courts in Missoula, Montana.

    21. Severability

    In the event that any part or provision of this Agreement is declared fully or partially invalid, unlawful or unenforceable by a court of competent jurisdiction, the remainder of the part or provision and the Agreement will remain in full force and effect, if the essential terms and conditions of this Agreement for each party remain valid, binding and enforceable.

    22.  Assignment

    You may not assign your rights under this Agreement to any third party; however, we may assign our rights under this Agreement without notice or condition.

    23.  Section Headings

    The section headings in this Agreement are for convenience only and have no legal or contractual effect.

    24. Termination

    SATIC may terminate this Agreement at any time, with or without notice, for any reason.

    25. Relationship of the Parties

    Nothing contained in this Agreement or your use of the Satic Sites shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such.  Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.
