    THE INFORMATION CONTAINED HEREIN SETS FORTH YOUR RIGHTS AND OBLIGATIONS WITH RESPECT TO THE TRANSACTION(S) CONTEMPLATED HEREBY. THESE TERMS REQUIRE DISPUTE RESOLUTION ON AN INDIVIDUAL BASIS ONLY – MEANING CASE CONSOLIDATIONS AND CLASS ACTIONS ARE NOT PERMITTED. PLEASE REVIEW THIS DOCUMENT IN ITS ENTIRETY BEFORE ENTERING INTO ANY TRANSACTION HEREUNDER IN ORDER TO CONFIRM YOUR ACCEPTANCE HEREOF. 

    YOU MAY NOT ORDER OR OBTAIN PRODUCTS OR SERVICES FROM SATIC UNLESS YOU: 

    (A) AGREE TO THESE TERMS AND CONDITIONS IN THEIR ENTIRETY; 

    (B) ARE AT LEAST 18 YEARS OLD; 

    (C) HAVE THE LEGAL AUTHORITY TO BIND THE ORGANIZATION THAT YOU REPRESENT, IF ANY, TO THESE TERMS AND CONDITIONS; AND 

    (D) ARE NOT PROHIBITED FROM ACCESSING OR USING THIS WEBSITE OR ANY OF THIS WEBSITE'S CONTENTS, GOODS, OR SERVICES BY ANY APPLICABLE LAW, RULE, OR REGULATION.

    Applicability of Terms and Conditions

    These terms and conditions (herein "Terms") shall apply to your purchase of products and related services through www.saticshield.com ("SaticShield"). These Terms are subject to change at any time without prior written notice by Satic, Inc. dba Satic Shield (referred to herein as either “Satic,” “we,” “us,” or “our”). The most recent version of these Terms shall be posted for your review at any time on SaticShield. Please review these Terms in their entirety prior to engaging in any transaction on SaticShield. Your continued use of SaticShield after any posting of updated Terms (which shall be dated as of their most recent update) shall constitute your acceptance of and agreement to any changes therein made.

    Online Orders

    When placing an order on our Site, you are effectively offering to purchase whatever products and services you select. We reserve the right to accept or reject any order at our own discretion. We will only accept or reject an order in its entirety. Should we elect to accept your offer, you will receive a confirming email at the email address that you provide at such time. Notwithstanding, we reserve the right to cancel any order once accepted by us (as evidenced by a confirming email) at any time at our sole discretion. Additionally, you have the option of cancelling your order (in its entirety only) at any time prior to shipment. 

    Payment Terms

    All applicable prices are set forth alongside the goods and services offered on SaticShield. Such prices are subject to change at any time by us in our sole discretion. You will be responsible for the prices stated at the time of your transaction, as well as any: (i) sales, use, excise, and related taxes; and (ii) shipping and handling charges. Payment may only be made with a valid credit card, debit card, or use of a bona-fide electronic payment provider (i.e., PayPal). By using any such card or payment provider, you are hereby representing and warranting your full right and authority to make such purchase in the manner elected without violating any applicable law, rule, or regulation.  Our store is PCI-DSS compliant (a very strict industry standard with requirements for the security of credit card information), so we use accredited companies such as NMI and PayPal to authenticate and process your payment information.  We, or our providers, may verify billing and shipping addresses in order to protect against identity theft and provide users with a safer shopping environment. During this verification process, a customer and/or a customer’s credit card company or issuing bank may be contacted, and to the extent fraud is detected: (1) the order will be cancelled, (2) the customer will be contacted, and (3) local law enforcement will be informed.

    Domestic and International Shipping Policies

    At your expense, it is our responsibility to ship your accepted order to you at the address you provide when making the order.  SaticShield has partnered with ShipStation to ship all of its SaticShield Kits by USPS Priority Mail within the United States. As a result, shipping and handling expense is predetermined and listed for each order. Typically, orders are received, shipped and delivered within 4-5 business days.

    You will be responsible for all associated shipping & handling charges. While we agree to use reasonable efforts to meet the shipping and delivery dates provided online, we shall not be responsible for any delays in shipments.

    Returns

    First, if you have a need to consider refunds or returns, you likely ordered a product from us. Which means we owe you a “thank you!” Nothing makes us happier than a happy SaticShield customer, and as such we promise to do our very best to deliver amazing products and customer experience, and rest assured, to make right any product issues along the way. That said, here are some things you might want to know…

    If you, for any reason, are not satisfied with your order, you may return it for a full refund; provided: (i) the items(s) were not designated as non-returnable; (ii) your return is made within thirty (30) days of delivery; (iii) the merchandise is returned in the same condition as originally received by you; and (iv) the goods are not obsolete or discontinued.

    Once the goods are received by us, we will refund your purchase price, less the original shipping & handling charges. All returns must be made pursuant to our return procedure, specifically:

    • You may cancel an order at any time prior to shipment and there will be no charge for products or shipping.
    • Our products may come with warranties. As further set forth herein and at the dedicated link:  _____, the Power Perfect Box (PPB) comes with a 10-year limited warranty while a 3-year limited warranty comes with both the Pure Power Plug-In and SaticPulse LED lighting (see link: _____).
    • If you want to return any of our products within the first 30 days after receipt or for warranty purposes, please contact SaticShield’s customer support by phone at (406) 493-1861 or by email at support@saticusa.com to receive a RMA number and return shipping instructions.

    You bear the risk of loss or damage during shipment (other than when returning non-conforming merchandise) and as such, you are advised to obtain appropriate insurance. Your refund will be credited back to the same payment method used to make the applicable purchase.

    Representations & Warranties (R&Ws); Disclaimers; Limitations on Liability

    (a) Buyer’s R&Ws: You represent and warrant to us as follows: 

    (i) that you have the right to enter into any transaction contemplated for hereby without violating these Terms, any applicable law, rule, or regulation, and/or any agreement with, or rights of, any third party; 

    (ii) that you will use the goods and services provided hereunder exactly as authorized and never in any way that would violate any applicable law or third party right of any kind; and 

    (iii) that you are buying goods or services from SaticShield for solely your own use, and not for resale and/or export.

    (b) SATIC’S LIMITED WARRANTIES

    Satic offers a "Limited Warranty" on purchases. A limited warranty gives you specific legal rights. You may also have other rights, which vary from jurisdiction to jurisdiction. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the limitation or exclusion under this Limited Warranty may not apply to you. Please keep your dated sales receipt; it is required for all warranty requests. Satic’s limited warranties include:

    (1) POWER PERFECT BOX®, 10 YEAR LIMITED WARRANTY

    This POWER PERFECT BOX® 10 year limited warranty will apply to Power Perfect Box, Power Perfect HD, Power Perfect SD, and Power Perfect 3-Phase (collectively herein “PPB”). Each PPB must be installed by a licensed/insured electrician according to professional standards and the instructions provided at this link:  _____.   

    This PPB limited warranty is for the benefit of the original purchaser (consumer) only and will continue for the warranty period of ten (10) years as long as such original purchaser uses the PPB purchased herein. If within the ten (10) years of purchase a PPB is damaged by a power surge or fails to work, Satic will, at its sole discretion, repair or replace the unit. This limited warranty does cover damage caused by a power surge excluding those caused by lightning. (A power surge is defined as an electrical transient or spike on the AC power lines.) Subject to the provisions below, this warranty also covers all defects in workmanship or materials. 

    This warranty is applicable only when the PPB was active and fully functional immediately prior to the claim event and the PPB sustained surge damage as a result of the claim event or stopped functioning without any apparent reason.  The above remedy is the sole remedy under this warranty, whether based on contract, tort, including negligence or otherwise. Claims must be made within ten (10) days of damage or loss. The PPB must be registered by the original owner for the warranty to be exercised. You must register the PPB by either (a) returning the fully completed bottom portion of the document provided upon your purchase within thirty (30) days of installation to Satic, Inc. Attn: Warranty Dept., 7151 Kestrel Drive, Missoula, MT, USA; or (b) completing the online warranty registration via this link:  _____. 

    In the event of an operational failure of the PPB, mail a written warranty claim request to Satic. Satic will provide a claim number that must accompany the damaged PPB that is being returned for repair or replacement. Send the damaged PPB, freight prepaid, to Satic for testing and confirmation of damage. Upon confirmation of surge damage or a performance failure due to parts or workmanship, Satic will repair or replace the damaged or defective unit. This warranty will not apply to any defects or damage to the PPB due to: (a) Tampering, modification, or alteration of the PPB; (b) installation of the PPB by an unlicensed electrician; (c) installation of the PPB not according to the installation instructions; or (d) surge caused by lightning.

    EXCEPT FOR THE EXPRESS WARRANTY SET FORTH ABOVE, SATIC GRANTS NO OTHER WARRANTY, EXPRESS OR IMPLIED, BY STATUTE OR OTHERWISE, REGARDING THE PRODUCTS, THEIR FITNESS FOR ANY PURPOSE, THEIR QUALITY, THEIR MERCHANTABILITY, OR OTHERWISE. SATIC'S LIABILITY UNDER ANY LEGAL THEORY SHALL BE LIMITED TO THE REPAIR OR REPLACEMENT OF THE PPB. IN NO EVENT SHALL SATIC BE LIABLE FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES.

    (2) 3 YEAR LIMITED WARRANTY for SATIC’S PURE POWER™ PLUG-IN and SATICPULSE™ LED LIGHTING:

    This limited, 3-year warranty is offered by Satic to the original purchaser of either (1) Satic’s PURE POWER™ PLUG-IN OR (2) THE SATICPULSE™ LED lighting products.  Satic warrants these products to be free from defects in workmanship and materials, under normal use and service, for a period of three (3) years from the date of purchase by the consumer. If at any time during the warranty period the product is determined to be defective or malfunctions, the manufacturer shall repair or replace the unit. The warranty does not cover damage caused by: incorrect installation or operation different from instructions; opening or servicing the product; or damage due to lightning.  You must register the system by either (a) returning the fully completed bottom portion of the document provided upon your purchase within thirty (30) days of installation to Satic, Inc. Attn: Warranty Dept., 7151 Kestrel Drive, Missoula, MT, USA; or (b) completing the online warranty registration via this link:  _____.

    EXCEPT FOR THE EXPRESS WARRANTY SET FORTH ABOVE, SATIC GRANTS NO OTHER WARRANTY, EXPRESS OR IMPLIED, BY STATUTE OR OTHERWISE, REGARDING THE PRODUCTS, THEIR FITNESS FOR ANY PURPOSE, THEIR QUALITY, THEIR MERCHANTABILITY, OR OTHERWISE. SATIC'S LIABILITY UNDER ANY LEGAL THEORY SHALL BE LIMITED TO THE REPAIR OR REPLACEMENT OF THE RELEVANT PRODUCT. IN NO EVENT SHALL SATIC BE LIABLE FOR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES.

    (3) SATIC’S LIMITED WARRANTY FOR OTHER PRODUCTS: For any Satic-manufactured products not expressly called out above, we represent and warrant to you that any goods purchased by you on SaticShield, when used specifically as authorized by us and without modification thereto, will conform in all material respects to: 

    (i) the specifications set forth on SaticShield, and 

    (ii) any instructions that we provide you with upon delivery of the merchandise. 

    For this subcategory of goods, we further represent and warrant to you that any goods or services purchased by you on SaticShield will be safe for their intended use and free from defects in material, functionality, and workmanship. Notwithstanding the foregoing, this warranty shall not apply when the goods are subject to: negligence, misconduct, misuse, abuse, accident, improper installation or handling, unusual environmental conditions, or other extreme stress, alteration, repair by anyone other than us (or one of our authorized representatives), use with any third-party product or service (other than as specifically authorized in advance by us), or use in violation of any provided-for instructions. Notwithstanding the foregoing, any products manufactured by a third party and incorporated in any goods provided hereunder are not covered by this limited warranty. We further warrant to you that we will perform any services purchased through SaticShield using personnel of all required skill, experience and qualifications and in a professional manner in accordance with generally recognized industry standards for similar services in order to meet our obligations hereunder. Notwithstanding anything set forth herein to the contrary, your sole remedy with respect to a breach by us of our warranties to you shall be to inform us, in writing, of your desire to exercise this limited warranty, along with a sufficiently detailed explanation of your reason(s), so that we may either: (i) repair or replace the goods in question (or re-perform the services, as applicable); or (ii) credit or refund your purchase price. In such instance, restocking fees shall not apply. We shall have the right to select which cure option to pursue, and we will be responsible for shipping & handling charges associated with resending replacement goods (and shall also be responsible for their risk of loss in transit during such time), if and as applicable. Any claim made by you hereunder shall be made within 90 days of delivery or forever be waived. We reserve the right to verify any such claim. This warranty period is not extended if we have to repair or replace a warranted product or re-perform a warranted service. This limited warranty extends only to you as the original purchaser of our products and services from SaticShield (i.e., and not to any subsequent owner or beneficiary of any goods or services received hereunder). In order to obtain warranty service, please contact support@saticusa.com and obtain an RMA number. If for any reason you believe in good faith that we have not fulfilled our obligations hereunder, you are entitled to follow the dispute resolution procedures set forth herein. THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS, WHICH VARY FROM STATE TO STATE. THIS LIMITED WARRANTY CAN ALSO BE FOUND AT [INSERT URL ADDRESS] AS WELL AS IN THE DOCUMENTATION WE PROVIDE WITH THE PRODUCTS.

    (4) THIRD PARTY MANUFACTURER’S WARRANTY AND SATIC’S DISCLAIMERS: We may occasionally offer products for sale which we do not manufacture (or direct the manufacturing of).  In those instances, we do not in any way warranty those goods or services offered. The availability of third party goods and services on our Site does not constitute an affiliation with or endorsement of any of the goods or services or their manufacturer. As such, subject to applicable law, we are providing the goods and services to you “as is” without express or implied warranties of any kind (including without limitation any: (i) warranty of merchantability; (ii) warranty of fitness for a particular purpose; (iii) warranty of title; or (iv) warranty against infringement of intellectual property rights of a third party, whether express or implied by law, course of dealing, course of performance, usage or trade, or otherwise). They are, however, covered by the manufacturer’s warranty as detailed in any product’s description on our Site and included with our delivery of the goods and services. You can avail yourself of any of the manufacturer’s warranties by following the instructions provided in their warranty agreement[s]. You acknowledge and agree that under no circumstances shall we be liable for any breach of the manufacturer’s warranty claims and/or for any loss or damages that may arise out of the manufacturer’s failure to honor its warranty obligations to you.

    (c) LIMITATION ON WARRANTIES: Subject to applicable law, and without limitation on the foregoing, we limit the duration and applicability of any and all implied warranties (including without limitation the warranties of merchantability, fitness for a particular purpose, title, or warranty against infringement of intellectual property rights of a third party, whether express or implied by law, course of dealing, course of performance, usage or trade, or otherwise) to the duration of the limited warranty set forth in subsection (b) above. PLEASE NOTE THAT SOME STATES DO NOT ALLOW FOR LIMITATIONS ON THE DURATION OF IMPLIED WARRANTIES AND THEREFORE, THIS LIMITATION MAY NOT APPLY TO YOU.

    (d) SOLE AND EXCLUSIVE REMEDIES/LIABILITY CAP: SUBJECT TO APPLICABLE LAW, THE REMEDIES SET FORTH ABOVE ARE YOUR SOLE AND EXCLUSIVE REMEDIES, AND OUR ENTIRE OBLIGATION AND LIABILITY, FOR ANY BREACH OF OUR LIMITED WARRANTY. SUBJECT TO APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL SATIC’S OBLIGATION OR LIABILITY HEREUNDER EXCEED THE PURCHASE PRICE YOU PAID FOR ANY GOODS OR SERVICES. ADDITIONALLY, SUBJECT TO APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL WE BE LIABLE FOR ANY LOSS OF USE, DATA, BUSINESS, GOODWILL, REPUTATION, OR REVENUE, AND/OR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES OR OTHER DIRECT OR INDIRECT LOSSES OF ANY KIND. SOME STATES DO NOT ALLOW FOR THE EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

    Third Party Beneficiaries

    These Terms are for your sole benefit and nothing herein, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever under or by reason of these Terms.

    Force Majeure

    Satic shall not be held responsible for delays or non-performance caused by activities or factors beyond its reasonable control, including without limitation, war, weather, strikes, floods, pandemics, lockouts, fires, acts of God, terrorism, and/or delivery, vendor, supplier, or other third party delays, non-performance, or failures of any kind.

    Assignment

    Satic may assign or otherwise transfer any or all of its rights or obligations hereunder, in whole or in part, to any third party in its sole discretion. You may not assign any of your rights or delegate any of your duties hereunder at any time without our prior written consent in each instance, and any attempt to do so shall be null and void.

    Partial Invalidity

    In the event that any part or portion of these Termsis declared fully or partially invalid, unlawful or unenforceable by a court of competent jurisdiction, the remainder of the part or provision and the Terms will remain in full force and effect, so long as the essential terms and conditions of the agreement remain.

    Mediation

    If any dispute arises in relation to your access and use of the Satic Sites or Satic products (including any non-contractual dispute or claim), and if the dispute is not settled through negotiation, you and Satic agree that you will first try in good faith to settle the dispute by the informal dispute resolution mechanism of mediation before resorting to litigation or some other dispute resolution procedure. The process shall be confidential based on terms acceptable to the mediator and/or mediation service provider.

    Small-Claims Option

    You may elect to pursue a breach of warranty claim in small-claims court rather than submit to mediation, but only if you provide us with written notice of your desire to do so within ninety (90) days of your purchase transaction. Any small-claims court proceeding initiated hereunder will be limited solely to your individual dispute; i.e., you are not permitted to file, or participate in, a class action suit or consolidated claim in small-claims court with respect to these Terms.

    Applicable Law

    You agree that the laws of the state of Montana, without regard to conflicts of laws provisions will govern these Terms and Conditions for Purchase of Satic Products and any dispute that may arise between you and Satic or its affiliates.  You and we further agree to submit to the exclusive jurisdiction of the courts in Missoula, Montana.

    No Waivers

    Our failure to enforce any of our rights hereunder will not constitute a waiver of our right to make such enforcement in the future, subject to applicable law.

    Notices

    We may provide notices hereunder to you by: (i) email; (ii) regular mail; or (iii) posting them on SaticShield or Satic Sites. You shall be responsible for ensuring that you have provided us with your current email and mailing addresses.     Entire Agreement

    These Terms, along with the confirmation email referenced above, any instructions that we provide you with relating to any product or service you obtain from us through SaticShield, and the Satic Site’s ‘Terms of Use’ and ‘Privacy Policy,’ shall, collectively, be deemed a final and integrated agreement between you and us with respect to the subject matter hereof.
